Terms of use

These terms of use (the "Terms") form an agreement between you and ORYX Gestion Inc. ("ORYX", "we"). They govern your use of the oryxgestion.com website, our forms and the ORYX SAAS platform (the "Platform"). By using our site or services, you confirm that you have read, understood and accepted these Terms. If you accept them on behalf of a company, you represent that you have the authority to bind it.

ORYX is an all-in-one management software for service businesses. Depending on your plan, the Platform notably includes: client management (CRM and sales pipeline), quotes and invoices, timesheets and employee management, access from a phone's browser, project documents and photos, the built-in appointment calendar, client review requests, the AI copilot and dashboards. The exact set of features may evolve; current features are described on our website.

Access to the Platform starts with a 30-day free trial. A valid credit card is required at sign-up; no amount is charged during the trial. At the end of the 30 days, the subscription continues at the price of the plan you chose, unless you cancelled before that date. You may cancel at any time from your account, with no fee or penalty, and cancellation takes effect at the end of the period already paid for.

When you create an account on the Platform, you undertake to:

— Provide accurate, up-to-date information

— Keep your credentials, and those of your employees, confidential

— Be responsible for activity carried out under your access

— Notify us promptly of any unauthorized use of your account

You remain responsible for the content you and your team store in the Platform (client data, documents, photos), including its accuracy and legality.

Access to the Platform is offered as a monthly subscription priced by team size: $127 per month (up to 10 employees), $327 per month (up to 25 employees), $727 per month (up to 50 employees), and custom beyond 50 employees. Prices are in Canadian dollars, plus applicable taxes. All features are included in every plan; only the employee limit varies.

Payments are processed by our payment processor Stripe. If prices change, we will notify you at least 30 days in advance; the new price will apply from the billing cycle following the notice.

The subscription has no long-term contract: you may cancel at any time, and cancellation takes effect at the end of the current billing period. No refund is due for a period already started, unless required by law.

We may suspend or terminate an account in the event of a serious breach of these Terms, payment default or unlawful use, with reasonable notice where circumstances allow.

After termination, your data is retained and then deleted in accordance with our Privacy Policy (90 days after termination for Platform usage data). You may request a copy of your data before its deletion.

Your data belongs to you. The information, documents and content you store in the Platform remain your property. You grant us only the limited licence necessary to host, process and display this content in order to provide the service to you.

Personal information you entrust to us. When you record information about other people in the Platform, in particular your clients and your employees, you remain responsible for it under the law and ORYX acts as your mandatary. We commit to the following:

— We use this information only to provide you the service, never for our own purposes and never for advertising.

— Access is limited to the people who need it to operate the service or assist you.

— If we become aware of a confidentiality incident affecting your information, we notify you promptly and pass on what we know as we learn it, so that you can meet your own obligations.

— On reasonable request, you may carry out the verifications needed to satisfy yourself that these commitments are met, at your own expense.

— At the end of the contract, you may export your data for 30 days. After that, we delete it from the Platform. The backup expiry cycles of our infrastructure providers are not under our control; we document them in our privacy policy as we obtain them in writing.

— The list of providers that process information on our behalf is published in our privacy policy and kept up to date.

It is up to you to inform your employees and clients of how you use the Platform and to obtain the consents the law requires of you, in particular for any sensitive information you choose to record in it.

The Platform, its code, design, trademarks and content (excluding your data) remain the exclusive property of ORYX Gestion Inc. No intellectual property rights are transferred to you through use of the service.

You agree not to:

— Use the Platform for unlawful purposes or contrary to these Terms

— Attempt to access our systems or other users' data without authorization

— Copy, decompile, disassemble or reverse-engineer the Platform

— Resell, lease or redistribute the service without our written authorization

— Upload malicious content or content infringing third-party rights

We make reasonable efforts to provide a reliable, available service. The Platform may nonetheless be temporarily unavailable (maintenance, updates, technical incidents or causes beyond our control). The service is provided "as is" and "as available"; to the extent permitted by law, we make no express or implied warranty of uninterrupted availability or freedom from errors. Suggestions from the AI copilot are provided as decision-support: you remain responsible for business decisions made based on these suggestions.

To the extent permitted by applicable law, ORYX cannot be held liable for indirect, incidental, special or consequential damages (including loss of profits, revenue or data) arising from the use of, or inability to use, the service. Where ORYX's liability is established, it is limited, in the aggregate, to the amounts you paid us during the 12 months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or liabilities: in that case, the limitations apply to the maximum extent permitted.

We may modify these Terms from time to time. The date of the last update is shown at the top of this page. For substantial changes, we will notify you by email (if you are a subscriber) or by a notice on our site before they take effect. Your continued use of the service after the changes take effect constitutes your acceptance of the updated Terms.

These Terms are governed by the laws of Quebec and the federal laws of Canada applicable therein. Any dispute will be subject to the exclusive jurisdiction of the courts of Quebec, in the judicial district of ORYX's head office.
